Online investment-linked finance, which uses an online platform to lend investors' funds to specific borrowers as linked loans and gives investors the right to receive principal and interest, may only be operated after registering with the Financial Services Commission. The applicant must be a stock company under the Commercial Act and must hold equity capital of 500,000,000 won (linked loan volume under 30,000,000,000 won), 1,000,000,000 won (30,000,000,000 won or more but under 100,000,000,000 won) or 3,000,000,000 won (100,000,000,000 won or more). The Financial Services Commission decides on registration within 2 months of receiving the application, and time spent on supplementation is not counted in this period.
Procedure
1. Check the corporate form and business scope
The applicant must be a stock company under the Commercial Act. After registration, permitted business is limited to what the Act lists, such as linked lending, linked investment on its own account under certain conditions, brokering transfers of principal-and-interest receivable rights, and managing and collecting linked loan claims. Operating online investment-linked finance without registration is punishable by up to 3 years in prison or a fine of up to 100,000,000 won.
2. Meet the equity capital tier
Equity capital must be at least 500,000,000 won if linked loan volume is under 30,000,000,000 won, 1,000,000,000 won if it is 30,000,000,000 won or more but under 100,000,000,000 won, and 3,000,000,000 won if it is 100,000,000,000 won or more. Linked loan volume is calculated as of the end of the previous year using the method set by Financial Services Commission notice, such as excluding repaid amounts from cumulative linked loans. The ratio of total liabilities to equity capital and total contributions must also be at or below the ratio set by Financial Services Commission notice within 200%.
3. Check staffing, facilities and internal control requirements
The company must have qualified staff and IT personnel, IT equipment and communication means, office space and equipment, security facilities, and backup facilities to keep operating in case of power failure or fire. Internal control systems including a conflict-of-interest prevention system and at least 1 compliance officer are also required. Officers must not fall under the disqualifications in Article 5 of the Act on Corporate Governance of Financial Companies, and major shareholders must meet standards on investment capacity, financial soundness and social credibility.
4. Prepare and submit the registration application and business plan
The application states the trade name, head office location, officers and board of directors, business plan, equity capital and other financial matters, linked loan volume, staff and physical facilities, major shareholders, and the conflict-of-interest prevention system. The business plan must meet standards on internal control for risk management and preventing financial accidents, business methods suited to user protection, and compliance with laws. It is submitted to the Financial Services Commission with attachments such as the articles of incorporation, officers' resumes, a statement of business methods and financial statements.
5. Review, registration and post-registration management
The Financial Services Commission decides on registration within 2 months and notifies the result in writing, and may request supplementation if there are deficiencies. Once registration is decided, it is entered in the register, announced in the Official Gazette and on the website, and a registration certificate is issued. After registration, the company must join the association and file a change registration within 15 days from the date a listed item in the application changes.
