Forming a Condominium Building Management Body, Appointing a Manager and Obtaining a Unique Identification Number Certificate

In a condominium building such as a commercial building, an officetel or a knowledge industry center, a management body is established without any separate procedure once a sectional ownership relationship is formed, and all sectional owners become its members. If there are 10 or more sectional owners, a manager must be appointed. For the resolution appointing the manager to be valid, the procedure for convening the management body meeting must be followed properly, and the minutes of that meeting are used to obtain a unique identification number certificate (goyu beonhojeung) from the tax office.

Procedure

  1. 1. Confirm the formation of the management body and the duty to appoint a manager

Once a sectional ownership relationship arises, the management body is established automatically. If there are 10 or more sectional owners, a manager must be appointed. In the early stage of the sale of units, the seller (developer) manages the building. Once 1/2 or more of the prospective buyers have completed registration of transfer, the seller must notify the sectional owners to convene a management body meeting within 3 months. If the sectional owners do not convene it within 3 months, the seller must convene it directly.

  2. 2. Notice of convening the management body meeting

Compile the list of sectional owners based on the property register, and send notice of the meeting date, place and agenda (appointment of the manager, enactment of the management bylaws, etc.) by the statutory deadline before the meeting. If the notice procedure is omitted, there is a risk that the resolution will be void, so keep the dispatch records.

  3. 3. Hold the meeting and prepare the minutes

Resolve the agenda items on the appointment of the manager and the management bylaws while confirming the quorum for resolution. Record the attendance and proxy status and the results of the resolutions accurately in the minutes, and obtain signatures.

  4. 4. Apply for the unique identification number certificate

Prepare the meeting minutes, the management bylaws, the manager appointment documents and the list of members, and apply to the competent tax office for a unique identification number certificate. Processing usually takes 3 to 7 days. After issuance, the management body can open a bank account in its own name and collect management fees.

Checked against the statutes on

Statutes and public notices change, so each case needs to be checked individually. Statute titles are given in English for reference. The Korean statutes are the authoritative text.

Check these first

  • If the convening notice procedure is omitted, the resolution appointing the manager may be void. Be sure to keep the notices and the dispatch records.
  • For a building with a large number of exclusive-use sections, also check whether the appointment of the manager must be reported to the competent authority.

Frequently asked questions

Does a management body have to file a separate report of establishment?
A management body is established automatically, without any separate procedure, once a sectional ownership relationship is formed. However, to open a bank account and handle taxes, it needs to appoint a manager and obtain a unique identification number certificate from the tax office.
Must a manager be appointed?
If there are 10 or more sectional owners, appointing a manager is mandatory. Even with fewer than 10, practical work runs smoothly only when there is a person who represents the management affairs.
The seller (developer) is managing the building. When can a management body meeting be held?
Once 1/2 or more of the prospective buyers have completed registration of transfer of ownership, the seller must notify the sectional owners to convene a management body meeting within 3 months, and if the sectional owners do not convene it within 3 months, the seller convenes it directly. At that meeting, the appointment of the manager and the enactment of the management bylaws are put on the agenda.
What is needed to obtain a unique identification number certificate for the management body?
The minutes of the management body meeting, the management bylaws, the manager appointment documents and the list of members are needed. An application to the competent tax office is usually processed within 3 to 7 days.
What if the convening notice could not be sent to some owners?
Omission of the notice procedure can be a ground for the resolution being void. It is safer to check the list again against the property register, supplement the notice and, if necessary, hold the meeting again.
